Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you (or the organization you represent) and Nivi Enterprises Inc. ("Stanch", "we", "us", or "our"), an Ontario corporation, governing your access to and use of the Stanch ABA practice management platform, including the web application, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

2. The Service

Stanch provides software to clinics and therapy practices for scheduling, clinical data collection, billing, and related practice-management functions. The Service is provided to your organization subject to a separate subscription agreement or order form, which governs fees, term, and scope of use.

3. Accounts and responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate account information and keep it current.
• You must not share credentials or permit unauthorized access to the Service.

4. Fees and billing

Subscription fees, billing terms, and payment schedules are set out in the applicable order form or subscription agreement. Fees are non-refundable except as required by law or expressly stated in your agreement.

5. Acceptable use

You agree not to:

• Use the Service in violation of applicable law, including Ontario's PHIPA;
• Attempt to gain unauthorized access to other tenants' data or systems;
• Reverse engineer, decompile, or extract the source code of the Service;
• Introduce malware or otherwise interfere with the Service's operation.

6. Data and privacy

Your use of the Service involves the processing of personal health information. How we collect, use, protect, and retain that information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual property

The Service and its underlying software are the exclusive property of Nivi Enterprises Inc. and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. No other rights or licenses are granted.

8. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Nivi Enterprises Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service.

10. Termination

Either party may terminate the subscription in accordance with the applicable agreement. Upon termination, your access to the Service will cease, and we will handle your data in accordance with our Privacy Policy and the applicable agreement.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

12. Changes to these terms

We may update these Terms from time to time. We will provide notice of material changes via the Service or by email. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes.
